Terms & Conditions

1. Acceptance of Terms

By accessing or using QueryNext services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use our services.

2. Services

We provide website development, app development, AI agents, workflow automation, and related consulting. The scope of work for each engagement is defined in a written proposal or statement of work ("SOW").

3. Proposals, Quotes, and Changes

Quotes are valid for 30 days unless otherwise stated. Any changes to the scope after approval may result in additional costs and timeline adjustments. Change requests must be agreed in writing.

4. Payments

• Invoices are due within 14 days unless specified otherwise.
• Deposits may be required before work begins.
• Late payments may incur fees and suspension of services.
• All fees are exclusive of applicable taxes.

5. Client Responsibilities

• Provide timely feedback, content, and approvals.
• Ensure you have rights to all materials supplied.
• Designate a single point of contact for decisions.

6. Intellectual Property

Unless otherwise agreed, upon full payment you receive a license to use deliverables for your business. Pre-existing tools, libraries, and frameworks used by QueryNext remain our or their respective owners' property.

7. Confidentiality

Both parties agree to keep confidential information private and use it solely for the purpose of fulfilling the engagement.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable laws. You are responsible for complying with data protection obligations within your organization.

9. Third-Party Services

Our solutions may integrate third-party platforms (e.g., hosting, payment, analytics, social networks). You are responsible for complying with their terms and maintaining active accounts as required.

10. Warranties

We deliver services with reasonable skill and care. Except as expressly stated in an SOW, services are provided "as is" without warranties of fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, QueryNext shall not be liable for indirect, incidental, consequential, or special damages. Our total liability for any claim shall not exceed the amounts paid by you for the specific services giving rise to the claim.

12. Indemnification

You agree to indemnify and hold QueryNext harmless from claims arising out of your content, misuse of services, or violation of these Terms.

13. Termination

Either party may terminate for material breach if the breach is not cured within 10 days of notice. Upon termination, you must pay for work completed to date and any committed costs.

14. Governing Law

These Terms are governed by the laws of your primary operating jurisdiction unless otherwise agreed in the SOW. Disputes will be resolved in the courts of that jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. Updates will be posted on this page with the revised date. Continued use of services constitutes acceptance of the changes.
